A highly regarded corporate law team is seeking an attorney with 4-5 years of private equity and M&A experience to join its practice. This role is ideal for candidates who excel in transactional structuring, negotiation, and strategic advisory for private equity sponsors and their portfolio companies.

Position Responsibilities:

• Draft and negotiate purchase agreements, merger agreements, and entity governance documents (LLCs and LPs)
• Provide transactional support and strategic counsel to private equity clients
• Manage deal processes, coordinate with business teams , and oversee transaction execution
• Work in a collaborative, fast-paced environment , supporting complex private equity transactions
• Serve as a key advisor on structuring fund and portfolio company investments

Qualifications:

• 4-5 years of experience in private equity and M&A transactions at a leading law firm
• Strong drafting, analytical, and negotiation skills
• Excellent organizational, project management, and leadership abilities
• Business-oriented mindset with strategic problem-solving skills
• Outstanding academic credentials and prior experience working with private equity sponsors

Compensation & Benefits:

• Competitive salary ($310,000 - $365,000) based on experience and location
